Statutes

Article 1 – Name, Duration, and Domicile

The not-for-profit organization in question is the Israeli Society of the New Lacanian School. Its acronym, to be used for the sake of brevity, will be “GIEP-NLS.”  As an affiliate of the NLS, the not-for-profit organization shall work in cooperation with and under the guidance of the Executive Committee of the NLS. The domicile of the organization’s current activity is the State of Israel.  The administration of the GIEP-NLS is based in Israel and its address is c/o Anat Fried, 8 Halamedhe St. Givatayim, 53543, Israel. The duration of the organization’s activity is unlimited.  

Article 2 – Objectives    

The objective of the GIEP-NLS is to make exist, presentify and transmit psychoanalysis in Israel, Europe and elsewhere, in accordance with the orientation set forth by Jacques Lacan in his return to Freud and in accord with the direction of the WAP.

As part of a School of psychoanalysis as developed and conceptualized by Lacan, the main objective of the GIEP-NLS is to maintain an open and constant debate regarding the crucial problems of psychoanalysis.

The GIEP (Groupe Israelienne des Etudes Psychoanalytiques) was founded in 1997 as part of the European School of Psychoanalysis (EEP). With the establishment of the New Lacanian School (NLS) in January 2003, GIEP was registered as an affiliated society of the New Lacanian School.

The NLS, together with the ECF (Ecole de la Cause Freudienne), the ELP (Escuela Lacaniana de Psicoanalisis), and the SLP (Scuola Lacaniana de Psicoanalisi), forms part of the EuroFederation of Psychoanalysis (Federation Europeene des Ecoles de Psychanalyse, FEEP), manifesting the presence of the World Association of Psychoanalysis (WAP) in Europe.

The GIEP-NLS will sustain its objectives by various means, such as: cartels, meetings, seminars, symposia, publications, library, internet site, Facebook profile and any other medium or activity deemed amenable. 

In order to promote and develop its objectives and to expand the scope of its activity, the not-for-profit organization shall establish contact and maintain ucrrent relations with individuals, consortiums, organizations and institutions in Israel and outside it.     

Article 3 – Applying for Membership in the GIEP-NLS and Acceptance of New Members

a) A candidate seeking membership in the GIEP-NLS shall submit his/her application in writing both to the GIEP-NLS Committee and to the President of the NLS.

b) The procedure of becoming a member of the GIEP-NLS will include two meetings: one with a member of GIEP-NLS Committee, and one with a member of the Executive Committee of the NLS.

c) The Executive Committee of the NLS will discuss applications for membership in the GIEP-NLS and reach a decision after consultation with the GIEP-NLS Committee.

d) Should the Executive Committee of the NLS reject a candidate’s application for membership in the GIEP-NLS, the candidate may appeal the rejection. An ad-hoc committee shall be set up to discuss the appeal within thirty days of its submissions. The committee shall be composd of three GIEP members whose names shall be drawn by lot, providing none of them are currently GIEP  Committee members.     

Article 4 – Members’ Rights

a) Right to participate in the activities of the not-for-profit organization and to be a beneficiary of its services.     

b) Right to participate in General Assemblies of the GIEP-NLS and to vote in these Assemblies. The vote of a given member shall be counted once in each case. 

c) Right to elect and be elected to various positions within the GIEP-NLS, including member of the GIEP-NLS Committee and Secretary of the GIEP Committee and to be elected to the Comptrolling Committee (this last, provided the member is question si not at the same time a member of the GIEP-NLS Committee). .

d) Right to receive the official publications of the GIEP and of the NLS.

e) In case of absence from a General Assembly, members may appoint, by way of written power of attorney, an attending member of the GIEP-NLS to vote on their behalf or regarding matters determined in advance, and not ocncerning matters raised in the course of the General Assembly itself.  

Article 5 – Members’ Duties & Responsibilities  

a) Duty to comply with GIEP-NLS statutes and objectives.

b) Duty to abide by decisions reached at General Assemblies. .

c) Duty to pay the annual membership fee for a given calendar year by the date of the General Assembly of the following year.

Article 6 – Cessation of Membership

Cessation of membership in the GIEP-NLS will follow:

a) Written expression of a wish to terminate membership sent to the GIEP-NLS Committee and to the NLS Executive Committee.  

b) Non-payment of membership fees in due time (see Article 5/Clause c).

c) Infringement of duties detailed in these Statutes.

d) Felony conviction.

e) In any case of a decision to terminate membership, the matter shall be brought to the General Assembly for discussion and final decision.   

f)  The GIEP-NLS Commitee will reach a decision concerning termination of

    membership only after hearing the member in question and after consultation with

    the Executive Committee of the NLS.

g) Upon a member’s death.

Article 7 – Financial Resources

a)      The financial resources of the GIEP-NLS shall come from membership fees, and from revenues from activities, publications, seminars, lectures, donations, estates, supports and any other means authorized by the Committee of the GIEP-NLS.

b)      In order to promote the GIEP-NLS, develop its contents and further its objectives, it may seek the consultation and advice of experts and other professionals in any sphere.

c)      The monies of the GIEP-NLS shall be invested in various kinds of investments as permitted by the law of the State of Israel.

d)      For purposes of the above, contracts, bills, cheques, guarantees and other relevant documents (see article 13) may be signed.

e)      The GIEP-NLS appear in any legal discussion related to its affairs, as a party to the discussion, to fulfill all legal roles and undertake all authorities of a legal personage in such an event.

Article 8 – Elections for the GIEP-NLS Committee

a) Elections for all functions on the GIEP-NLS Committee shall be held once every two years on the occasion of the General Assembly, as detailed in Article 12.

b)  A Committee may be elected only at a minimum of three members. One of these will fulfill the function of Secretary, another of Treasurer, another of Secretary of Cartels. The Secretary must be a member of the NLS.  

c) Members may submit their candidacy to the GIEP-NLS Committee in writing to the Secretary of

the GIEP-NLS Committee from the time elections in the context of a General Assembly are announced and up to seven days before the date set for these elections.   

d) The election date will be publicized along with the calendar of activity of the GIEP-NLS for a given year whenevr possible. In the the event this date is changed, the new date too will be publicized at least 10 days before the elections are to take place.

Article 9 – General Assembly

a) A General Assembly will be held once a year at the end of the annual activity. The date for the annual General Assembly shall be set by the GIEP-NLS Committee, which shall notify each member of this date at least ten days before the stipulated date.     

b) The date and place for each year’s General Assembly will be publicized along with the calendar of activities of the GIEP-NLS for a given year, insofar as this is possible. Notification of the date, place, and matters on the agenda, which shall include the election of a Chairperson of the General Assembly, shall be sent out to members at least ten days prior to the General Assembly

c) The Secretary of the GIEP-NLS Committee, together with the other Committee members, will invite members of the GIEP-NLS to propose topics for discussion. The secretary and Committee will also set the agenda for the General Assembly. Proposals for the agenda will be accepted up to three days before the General Assembly.

d) In the course of the General Assembly, Committee members will report on their work. The Assembly will approve the reports of the functionaries and discuss any matter on the agenda

e) In case of elections for the GIEP-NLS Committee, the General Assembly shall vote on the new appointments. The General Assembly shall approve the verbal and financial reports of GIEP Committee members.

f) A General Assembly can vote for candidates who proposed their candidacy in advance, of the General Assembly, as stipulated in these Statutes, for the following functions: Secretary, Treasurer, Secretary of Cartels, Secretary of Foreign Relations, Responsible for the Library, and Secretary of Publications.  

g) The GIEP-NLS Committee may call an extra-ordinary General Assembly either of its own accord or in the event that it is requested to do so by at least one third of GIEP-NLS members. 

h) Votes at any General Assembly, including a postponed Assembly, shall be by hand count, unless the Committee asks they be done in ballot form.

i) Decisions in a General Assembly shall be reached by majority vote of GIEP members present at the Assembly, except in cases where the law of the State of Israel requires a higher number of votes.  In case of an even number of votes for and against, the Chairperson of the Assembly shall not have a decisive vote, and the matter at hand will not be decided on. In such an event, it shall be possible to call another General Assembly to decide on that matter.   

j) Minutes will be taken at all General Assemblies.The Secretary of the GIEP-NLS Committee shall function as Chairperson of the General Assembly. In the event of his absence, another member of the GIEP-NLS Committee will be elected as Chairperson

k) A General Assembly may take place only if at least twenty five percent of GIEP-NLS members are present at the opening of the Assembly. Should this percentage or more of members be present, the Assembly may proceed and reach decisions even in the event the number of members present becomes lower than the legal quorum in the course of the meeting.    

l) In case a legal quorum is not assembled within an hour of the time stipulated in the invitation to the General Assembly, the General Assembly shall be considered postponed by one week, to the same time and place, without need to issue a further invitation. The postponed General Assembly may proceed to conduct discussions and reach decisions at any number of members present. Any decision reached at a postponed Assembly by majority vote of those present shall be valid.     

m) Only members who have paid the membership fee for a given year by the date of the General Assembly may participate in the General Assembly and vote in it.

n) Members who have paid their membership fee for a given year by the date of the General Assembly yet are unable to attend a General Assembly for any reason may appoint, by way of written power of attorney, an attending member of the GIEP-NLS to vote on their behalf. The appointed member will present the power of attorney to a member of the GIEP-NLS Committee at the General Assembly.

Article 10 – Ties with the NLS   

The GIEP-NLS Committee will routinely update the NLS Executive Committee of its activity and work in accordance with the direction set forth by WAP (cf. Article 2).

Article 11 – Statutes

The GIEP-NLS Committee may propose changes in the organization’s statutes and bring this for approval in a General Assembly (even be it an extra-ordinary General Assembly), following consultation with the President of the NLS, and provided the final decision is in accordance with law of the State of Israel with regard to not-for-profit organizations.  

Article 12 – The GIEP-NLS Committee

a)      The GIEP-NLS shall be managed by the GIEP-NLS Committee, which shall represent it in civil and financial affairs.                                                     

b)      The Committee shall comprise the following functions: Secretary, Treasurer and members responsible for cartels, library, publications, and foreign relations (see article 8/b). Should the Committee see fit, it may propose deputies to its members. Deputies will be approved at a General Assembly. In every term of office, the Committee will be open to inventions according to the decisions of the Committee and in consultatin with the Executive Committee of the NLS.

c)      Committee members elected at a given General Assembly shall fulfill the functions to which the have been elected till the date of a General Assembly which will elect a new Committee.

d)      Should a committee member wish to terminate his or her term of office, they will notify the GIEP-NLS Committee and the President of the NLS of theor decision, in writing. 

e)      A given Committee member shall cease to function as one if declared bankrupt or incompetent or if convicted of a felony.     

f)        Should a GIEP-NLS Committee member depart from his/her function, thus bringing the number of Committee members below the minimum required for the Committee’s subsistence, the remaining Committee members may appoint another GIEP-NLS member for the vacated function. This member shall serve in this function until the next General Assembly in which a new Committee is elected.

g)      The legal quorum for Committee meetings is at least two Committee members. The Committee is authorized to manage the time and place of its meetings, the invitation for these meetings, the number of members required to be present in them beyond the minimum, and the manner these meetings are conducted. Telephone convesrations, Skype converstaions and written correspondence among Committee members too shall count as Committee meetings, provided decisions reached at those meetings are unanimous.

h)      Committee decisions shall be reached by majority votes of Committee members. Should a standoff occur, the matter at hand shall be considered postponed and could be raise dagain at the next Committee meeting.  

i)        All activities of the not-for profit organization shall be decided on following a discussion at the GIEP-NLS Committee and shall be carried out in accordance with the decisions of the GIEP-NLS Committee. Minutes shal lbe taken at GIEP-NLS Committee meetings an dthese shall be signed by the Secretar of the GIEp-NLS.

j)        Functions of Committee members:

Secretary

The Secretary of the GIEP-NLS Committee will be the organiztion’s representative in all civil agreements and in social life. The Secretary shall chair the General Assembly, manage the list of members, prepare the annual list of activities, and maintain on-going working relations with all Committee members, from whom he shall receive routine reports, as well as with the Executive Committee of the NLS. The secretary shall be in charge of perparing a detaile dlist of members and to update this list on a routine basis. The Secretary shall report any change in the roster of members to the Executive Committee of the NLS. The secretary shall be involved in all amtters concerning the internet site of the GIEP-NLS.   

Treasurer

The Treasurer will be responsible for the organization’s book-keeping, collect membership fees, pay expenses, deposit revenues, prepare a budget proposal, issue receipts and present the balance of the GIEP-NLS before the State authorities and before the General Assembly.

Responsible for the Library

The committee member responsible for the GIEP-NLS library shall promote the organization’s library in accordance with the decisions of the GIEP-NLS Committee and in consultation with the Federation of Libraries of the Freudian Field.

Secretary of Cartels

The Secretary of Cartels will promote the establishment of new cartels and their registration in the NLS, and the transmission of the  products of the work of cartels at the GIEP-NLS, in cooperation with the NLS’s Secretariat of Cartels.

Secretary for Foreign Affairs

The Seceratry for Foreign Affairs will disseminate among GIEP-NLS members any information pertaining to events taking place in the Freudian Field and notify the various institutions of the Freudian Field about activities taking place in the GIEP-NLS and their outcome. S/he will also  promote joint activities and collaborations with other groups within the NLS, and will do so in coordination with the Secretary of the GIEP-NLS Committee as well as with the NLS Executive Committee.

Responsible for Publications

The committee member responsible for publications will promote the sales and distribution of GIEP-NLS publications in the local and international community and initiate activities relating to these publications within and without the GIEP-NLS. 

Article 13 – Procuration

The GIEP-NLS Committee may grant two or more GIEP-NLS members (separately) procuration on behalf of the GIEP-NLS, provided thair signatier is accompanied by the official stamp of the GIEP-NLS.      

Article 14 – Transmission in the GIEP-NLS  

a) Transmission in the GIEP-NLS will be in line with Lacan’s “Founding Act”, according to which the School does not endorse, guarntee, or make official the teaching of any one. Anyone undertaking transmission in the GIEP-NLS does so under his sole responsibity.

b) The GIEP-NLS Committee will invite GIEP-NLS members to participate in activities of the GIEP-NLS according to axes or themes of work designated by the GIEP-NLS Committee for a given year, in linkage to the School. Members will be invited to participate in seminars (a series of meetings dedicated to one of the axes selected for a particular year), workshops, seminars and other activities, on a rotative basis. 

c) Proposals of members for work in the GIEP-NLS will be sent to the GIEP-NLS Committee and will be considered one by one.   

Article 15 – Dissolution

After preliminary discussions between the GIEP-NLS Committee and the President of the NLS, the GIEP-NLS Committee may call an Extra-Oriniary General Assembly to decide on the dissoluation of the GIEP-NLS. The GIEP-NLS Committee will manage all aspects of the dissolution, including the legal and financial ones, in accordance with the law of the State of Israel. In case of dissolution, the organization’s property shall be transferred to another public organization as detailed in Article 9 (2) of the Israeli Income Tax Act, and will not be distributed among its members. The organization’s property and revenues are to be used only for purposes of its objectives. Any distribution of revenues or benefits among the organizations members is forbidden.

Article 16 – Comptrolling Committee 

The organization may elect a comptrolling committee from among its members, unless the law of the State of Israel requires it to appont an accountant instead. At the same time, the organization may decide to qppoint an accountant in the stead of a comptrolling committee even in the case it is not required to do so by law. 

Article 17  – Members and Property

a) GIEP members are not responsible in their own private property for the property of the GIEP-NLS, unless they have explicitly taken on such responsibility and have done so in writing.

      b) A member departing or made to depart from from the GIEP-NLS shall not have any right to any part whatsoever of the property of the GIEP-NLS.
